Terms of Service
1. Acceptance of Terms
By accessing and using audelta.com (the "Service"), you accept and agree to be bound by these terms of service. If you do not agree, please do not use the Service. If you are using the Service on behalf of a legal entity, you represent that you have the authority to bind that entity to these terms.
2. Service Description
audelta.com is a web-based audio processing platform (Software as a Service) that provides the following tools:
- Vocal removal (instrumental extraction)
- Stem splitting (separating audio into individual components such as drums, bass, and vocals)
- Chord detection and BPM (beats per minute) analysis
- YouTube-to-audio conversion
The Service is accessed entirely online via a web browser. No software download or installation is required. The Service operates on a credit system where 1 credit equals 1 minute of audio processing. Certain features may be subject to usage limits depending on your account tier.
3. User Accounts
To use certain features of the Service, you must create a user account. You agree to provide accurate and complete information during registration and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.
The operator reserves the right to suspend or terminate your account, with or without prior notice, if you violate these terms or applicable law. Upon termination, your account and associated data will be deleted in accordance with applicable data protection law. You may request deletion of your account and associated data at any time by contacting us.
4. Paid Services
Certain features of the Service require the purchase of credit packages. Credits are purchased via Stripe, a third-party payment processor. The operator does not store your payment information.
Credit system: 1 credit equals 1 minute of audio processing. Different features may consume credits at different rates, as described on the Service at the time of use. Pricing and available packages are displayed on the Service at the time of purchase.
Purchased credits are non-refundable once used. Unused credits in your account remain valid until used. Credits are not redeemable for cash and are not transferable to another account.
5. Right of Withdrawal
Right of Withdrawal for Consumers
If you are a consumer (a natural person entering into a contract for purposes primarily outside your trade, business, or profession), you have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period expires 14 days after the day on which the contract is concluded.
To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by means of a clear statement. You may use the model withdrawal form below, but it is not obligatory.

Expiration of the Right of Withdrawal for Digital Services
For contracts for the provision of digital content not supplied on a physical medium, the right of withdrawal expires if we have begun performing the contract with your express prior consent and you have acknowledged that you thereby lose your right of withdrawal. By requesting that we begin processing your audio files, you expressly consent to the immediate start of the service and acknowledge that you lose your right of withdrawal once the service has been fully performed.
If you withdraw from the contract before the service has been fully performed, you shall not bear any costs for the service already provided, provided that you had not expressly consented to the beginning of the performance before the withdrawal period expired and had not acknowledged the loss of your right of withdrawal.
6. Disclaimer
The Service is provided on an "as is" and "as available" basis. To the extent permitted by applicable law, the operator makes no warranties, express or implied, regarding the availability, accuracy, or reliability of the Service or its outputs. Statutory warranties that cannot be excluded by law remain unaffected.
7. Limitations of Liability
The operator shall be liable without limitation:
- For damages caused by intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit) of the operator, its legal representatives, or its vicarious agents
- For damages resulting from injury to life, body, or health
- Under product liability law
- Under any other statutory liability that cannot be excluded or limited by applicable law
In cases of simple negligence (einfache Fahrlässigkeit), the operator's liability is limited to the foreseeable, contract-typical damages that were reasonably foreseeable at the time the contract was entered into. This limitation applies to all claims for damages, regardless of the legal basis, including tort, and applies to all parties, including legal representatives and vicarious agents.
The limitation for simple negligence does not apply to claims arising from the breach of cardinal obligations (Kardinalpflichten) — obligations whose fulfillment is essential for the proper performance of the contract and on which you regularly rely. In such cases, liability for simple negligence is limited to the foreseeable, typical damages.
8. Accuracy of Materials
The materials and outputs appearing on the Service, including audio processing results, could include technical or typographical errors. The operator does not warrant that any of the materials are accurate, complete, or current. The operator may make changes to the materials at any time, subject to the notice provisions in Section 10 of these terms.
9. Links to Third-Party Sites
The Service may contain links to third-party websites. The operator has not reviewed all linked sites and is not responsible for their contents. The inclusion of any link does not imply endorsement. Use of any linked website is at your own risk.
10. Modifications to Terms
The operator may revise these terms of service at any time. If material changes are made, the operator will notify you via email or through the Service at least 14 days before the changes take effect. By continuing to use the Service after the changes become effective, you agree to be bound by the revised terms. If you do not agree to the changes, you may terminate your account before they take effect.
11. Governing Law
These terms and conditions are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence. The exclusive place of jurisdiction for all disputes arising from or in connection with these terms is the registered office of the operator, provided you are a merchant, a legal entity under public law, or a special fund under public law.
12. Prohibited Uses
You agree not to use the Service for any of the following:
- Uploading or processing any content that infringes upon the intellectual property rights of any third party
- Uploading or distributing any illegal, harmful, defamatory, or abusive content
- Attempting to circumvent any usage limits, security measures, or payment requirements
- Using automated scripts, bots, or other means to access the Service in a manner that imposes an unreasonable or excessive burden on the infrastructure
- Any other use that violates applicable law or these terms
Violation of these prohibitions may result in immediate suspension or termination of your access to the Service without prior notice.
13. Intellectual Property Rights
The Service, including its text, graphics, logos, and underlying software, is the property of the operator or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content of the Service without prior written permission, except as necessary to use the Service for its intended purpose.
You retain all rights to the audio files you upload. By uploading content, you grant the operator a limited, non-exclusive license to process, store, and transmit that content solely for the purpose of providing the Service to you and for no other purpose. The operator does not claim any ownership rights to your uploaded content.
